Syracuse and the surrounding region

Value your business in Syracuse before a buyer does it for you

Most companies for sale around Syracuse are not big. They're repair shops, service outfits, small distributors and practices, often run by the person who founded them. This page is for those owners. It explains how a buyer prices a company in a metro of 656,410 people, why the buyer may well come from outside the region, and which New York rules show up at closing.

What it adds up to

A mid-size metro with 14,587 employer locations, where other services, the repair and personal-service category, ranks second by location count. Only 15.2% of locations fall in the mid-size employee bands, so most sellers here run small teams.

Local economy

Medicine, two universities, a utility and the grocery aisle

Onondaga County's principal employers split into a few clear groups. On the medical side are SUNY Upstate Medical University, St. Joseph's Hospital Health Center, Crouse Hospital and Loretto. Syracuse University is the other large campus. National Grid/Niagara Mohawk runs the power utility, and Lockheed Martin Corporation is the main industrial name. Then come three retailers: the Price Chopper and Tops grocery group, Wegmans Food Markets and Walmart.

Retail tops the sector list by locations, with 2,023, and employs 33,696 people. Health care and social assistance has fewer locations but a bigger workforce, 51,130. What stands out is other services in second place by locations. That category covers auto and equipment repair, personal care, laundry, and membership groups: small, local, hands-on businesses.

So the owner population leans toward companies with a few dozen employees or fewer. Some sell to the big institutions, as contractors on the utility's network, as vendors to the hospitals, or as suppliers to the grocers. Many more sell straight to households and to other small businesses. Both kinds can sell well. The paperwork a buyer expects is the same for each.

Buyers

Buyers for a Syracuse company may not be local

In a metro this size, the pool of local buyers for any one company is short. That's not a reason to worry, but it changes how a sale works.

Individual buyers are the most common fit for a repair, service or practice business. Some will relocate for the right company. They usually finance with a bank loan, which means the lender reads the books too.

Competitors from nearby upstate markets sometimes buy to add a territory. A strategic buyer that already serves the hospitals, the universities or the utility may want a local company for its contracts and crews.

Private-equity add-ons happen here mainly in trades and services where a regional platform already exists. Their interest depends more on the sector than on the city.

Family and employee transfers remain common for smaller companies. They're often the quietest route, and the slowest to pay out.

Value

What pushes a Syracuse valuation up or down

Books a lender will accept

Because most buyers for a company this size borrow, the price is capped by what a bank will lend against. Accrual-based statements, tax returns that tie to them, and clearly marked owner expenses widen that cap.

Customers who know the owner, not the company

In repair and personal-service businesses, customers often call the owner by name. Buyers discount for that. A shop where the counter staff and technicians handle the relationships keeps more of its value through a sale.

The lease or the building

For a location-bound business, a short lease is a real risk to a buyer. A long assignable lease, or an owner willing to lease the property to the buyer, can hold a deal together.

Institutional contracts, where they exist

A vendor agreement with a hospital, the university or the utility can lift value, provided it's in writing and assignable. A buyer will ask whether it survives the change of control.

New York

Selling in Syracuse under New York rules

Three New York tax rules come up most in a small-company sale here. Each is from the state Department of Taxation and Finance and is shown with its source.

Clearances

When a business that collects sales tax sells or transfers business assets in bulk, the purchaser must notify the Tax Department on Form AU-196.10 at least 10 days before paying for or taking possession of the assets, whichever comes first. A purchaser who does not may be held liable for the seller's unpaid sales and use taxes.

What it changes in a sale

Repair shops and retailers nearly always collect sales tax, so most asset sales here trigger the notice. Buyers protect themselves with it, which makes back sales tax a common issue to clean up early.

Personal income tax

Resident shareholders of a New York S corporation pay personal income tax on their pro rata share of its pass-through items. Nonresident shareholders pay only on their share of items from New York sources; the corporation itself pays a fixed dollar minimum tax based on New York receipts.

What it changes in a sale

Owner-operated companies are often S corporations. The sale gain lands on the owner's personal return, which is why sellers compare after-tax proceeds across deal structures rather than headline prices.

Corporate tax

New York's corporation franchise tax rate on the business income base is 7.25% for tax years 2021 through 2026 for taxpayers with a business income base over $5 million, and 6.5% for all other taxpayers. From tax year 2027 the 7.25% rate reverts to 6.5%.

What it changes in a sale

A C corporation selling its assets pays tax on the gain before distributing anything. Most small companies sit under the higher-rate threshold, but larger ones see the scheduled rate change affect their closing-year math.

Where to start

Three modules Syracuse owners use

Range of value opinion

$1,000

Tells you what a lender-backed buyer could pay for your company, not what the business down the street sold for. A low-cost first step before deciding anything.

Buyer identification

Per buyer

When the right buyer may live well outside the region, someone has to find them. This module searches for qualified buyers, priced per buyer introduced.

Owner's rep / deal quarterback

Scoped

Small-company owners usually can't step away from the shop to run a sale. An owner's rep coordinates the lawyer, the accountant and the buyer so the business keeps running.

Questions

What Syracuse owners ask

How much is a small business in Syracuse worth?

It depends on reliable earnings, how much the customers rely on you personally, the lease, and what a buyer can borrow against the company. Two shops with the same revenue can be worth very different amounts. Saltaire's range of value opinion is a fixed $1,000 and gives you a range with the reasoning, so you aren't guessing.

Will a buyer from outside Syracuse be interested in my company?

Often, yes. Individual buyers move for the right business, and companies from nearby markets buy to add territory. What they need is a clear written picture of the company and books they can rely on, since they can't drop by every week before deciding.

What New York taxes apply when I sell my small business?

It depends on the structure. In an asset sale, New York's bulk sale notice and sales tax on tangible property apply, and an S corporation's gain passes through to the owners. Real estate held in the company can add the transfer tax. This is general information, not tax or legal advice. Your CPA and attorney can confirm what applies to you.

Can I get help selling without signing a long contract?

Yes. Saltaire works with owners in the Syracuse area from the New York metropolitan area, one module at a time. Each module has a fixed fee agreed in writing, half up front. You can stop after any of them. There's no exclusive and no success fee.
