What Connecticut adds to a sale

These statements come from the state's own agencies. Each one links to the page it was taken from.

Corporate tax

Connecticut's corporation business tax is 7.5% of apportioned Connecticut net income. Companies with $100 million or more of total income on federal Form 1120 also pay a 10% surtax on the tax for income years 2026 through 2028.

Personal income tax

Connecticut's pass-through entity tax is optional for partnerships, LLCs taxed as partnerships, and S corporations. An entity that pays it must elect each year, and the election is irrevocable.

Clearances

The purchaser of a Connecticut business or its stock of goods is liable for the seller's unpaid sales and use, admissions and dues, cigarette, room occupancy, tobacco products and income tax withholding taxes, up to the purchase price, unless enough of the price is withheld. The purchaser can request a tax clearance certificate on Form AU-866, and DRS has 60 days to issue a certificate or an escrow letter; buying a controlling interest in the entity does not trigger this liability.

Transfer taxes

Connecticut's controlling interest transfer tax is 1.11% of the value of the real property interest held by an entity when a controlling interest in it is sold or transferred, where the entity holds Connecticut real property worth $2,000 or more. The person selling or transferring the controlling interest pays it.
